AMENDMENT NO. TWO TO CONTRACT K-1819-150: BY AND BETWEEN THE CITY OF NORMAN, OKLAHOMA, AND THE BOARD OF REGENTS OF THE UNIVERSITY OF OKLAHOMA, PROVIDING FOR CONTINUATION OF THE UNIVERSITY’S PROVISION OF CERTAIN PUBLIC TRANSPORTATION FLEET MAINTENANCE PAST THE OCTOBER 1, 2019, TRANSITION DATE THROUGH THE EARLIER OF EITHER JUNE 30, 2020, OR WHEN THE CITY OF NORMAN VACATES THE UNIVERSITY OF OKLAHOMA TRANSPORTATION OPERATIONS CENTER; SETTING FORTH THE FEE SCHEDULE FOR SUCH SERVICES; AND AMENDING THE TERMINATION SECTION.

BACKGROUND: On June 20, 2019, the Federal Transit Authority designated the City to be the direct recipient of federal funds authorized to provide local public transportation services. On June 25, 2019, City Council approved Contract K-1819-150, a Service Agreement with the University of Oklahoma (University) for the University’s provision of transition public transportation services to the City, including operation of fixed routes and paratransit services as well as the provision of fleet maintenance from July 1, 2019, through August 3, 2019. On July 30, 2019, City Council approved Amendment No. 1 to Contract K-1819-150 providing for the University to continue providing paratransit services and fleet maintenance from August 5, 2019, through the later of either October 1, 2019, or a subsequent date no later than October 15, 2019, if agreed upon by both parties.
Amendment No. 2 to Contract K-1819-150 amends the prior agreements to extend the continuation of the University’s provision of certain public transportation fleet maintenance as needed and mutually agreed upon past the October 1, 2019, transition date.
DISCUSSION: EMBARK, the City’s third party contractor, is scheduled to take over operation of the City’s paratransit services on October 1, 2019. Likewise, the City will assume the fleet maintenance responsibilities on October 1, 2019.
Amendment No. 2 to Contract K-1819-150 amends the prior agreements to extend the continuation of the University’s provision of certain public transportation fleet maintenance services as needed and as mutually agreed upon and sets forth the fee schedule for such services. These amendments also modify the termination section, providing that the agreement may be terminated by either party upon ninety (90) days’ written notice to the other party. The non-terminating party retains the right to waive the ninety (90) days’ notice.
RECOMMENDATION: Staff recommends approval of Amendment No. 2 to Contract K-1819-150.
